Subscriptions and Fees

Introduction
GuidefAI offers its Services based on subscription plans as detailed on https://guidefai.com/pricing/.
The choice of one of the GuidefAI’s subscription plans determines your different payment obligations.
Subscription
Activating the Subscription implies the obligation for the Brand to:
1)provide a valid payment method;
2)provide accurate and complete billing information;
3)expressly authorises GuidefAI to charge the fees applicable to the Subscription.
The applicable fees depend on the chosen type of plan, as established here https://guidefai.com/pricing/ (the “Service Fee”) and will change based on the choice of the of time-frame for the payment, which can be on a monthly or annual basis (the “Subscription Term”).
The Service Fee will remain fixed during the Subscription Term, unless:
1)you choose to upgrade your Subscription;
2)you choose to add products, additional users or any other additional feature or service;
3)Unless indicated otherwise, Service Fees are stated in US dollars.
All payments and compensations, shall be done:
1)Between Parties who are Romanian residents, in RON using the exchange rate of the National Bank of Romania, valid at the issuance date of the invoice.
2)Between GuidefAI and non-Romanian residents in EUR/USD using the exchange rate of the National Bank of the Provider, valid at the issuance date of the invoice.
3)Brand hereby authorizes us, either directly or through our payment processing provider, to charge such Service Fees via Brand’s selected payment method, upon due date.
4)Unless expressly set forth herein, the Service Fees are non-cancelable and non-refundable.
5)We reserve the right to change the Service Fees at any time, upon notice to the Brand if such change may affect Brand’s existing subscriptions upon renewal.
6)In the event of failure to collect the Service Fees owed by Brand, we may, at our sole discretion (but shall not be obligated to) retry to collect at a later time, and/or suspend or cancel the Account, without notice.
If GuidefAI is obligated to collect or pay taxes for the Service Fees payable by you, and whether or not such taxes were added and collected from you for previous transactions, such taxes may be added to the payment of any outstanding Service Fees and will be reflected in the Invoice for such transaction.
We recommend that you verify the existence of any additional fees you may be charged by third parties in connection with the purchase of the Services or in connection with the renewal thereof (such as international transaction fees, currency exchange fees or fees due to banks or credit card companies).
GuidefAI is not responsible for any such additional fees or costs.
Billing
1. For those cases in which you have signed up for a free trial, while the Agreement comes into force on the Effective Date, the Subscription Term for Billing purposes will commence immediately after the trial period.
2. For monthly Subscription plans, the Service Fee is billed in advance, on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
3. For annual Subscription plans, the Service Fee is billed up front for a 1 (one) year period and is non-refundable. Your annual Subscription plan will automatically renew for successive 1 (one) year periods, and you will be charged the applicable fees on each annual anniversary, unless you cancel prior to the end of the then-current annual term. There will be no refunds or credits for partial terms of service, upgrade/downgrade refunds, or refunds for unused terms with an open account.
4. GuidefAI reserves the right to change its Service Fees at any time, upon notice to you if such change may affect your existing subscriptions. Any discount or other promotional offer is valid at the time given, and GuidefAI shall have the right to automatically and without notice renew your subscription to such Service(s) at the full applicable Service Fee.
Subscription Auto-renewals
1. In order to ensure that you do not experience any interruption or loss of services, certain Services include an automatic renewal option by default, according to which, unless you turn-off the auto-renewal option, such Services will automatically renew upon the end of the applicable Subscription Term (“Renewing Services”). Nevertheless, you will have the option to cancel subscription and/or unlink credit card.
2. The Subscription Term for the Renewing Services will be equal in time to the original Subscription Term (excluding extended periods) and, unless otherwise notified to you, at the same price, subject to applicable taxes changes and excluding any discount or other promotional offer provided for the first period.
3. By entering into this Agreement and by purchasing a Renewing Service, you acknowledge and agree that it shall automatically renew in accordance with the above terms.
4. You may turn-off the auto-renewal option for Renewing Services at any time via your Account or by notifying GuidefAI.
Invoices
1. GuidefAI and/or its affiliated companies will issue an invoice or credit memo for any payment of Service Fees or refund made to or by GuidefAI (“Invoice”). Each Invoice will be issued in electronic form and based on the country stated in your billing address and will be made available to you via your Account and/or by e-mail.
2. For the purpose of issuing the Invoice, you may be required to provide certain personal data in order to comply with local laws. Please note that the Invoice presented in your Account may be inadequate with your local law requirements, and in such case may be used for pro forma purposes only.
Chargeback
1. If, at any time, we record a decline, chargeback or other rejection of a charge of any payable Service Fees on your Account (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, and your use of the GuidefAi’s Services may be automatically disabled or terminated.
2. We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the Brand and or Brand User responsible for such Chargeback did in fact authorize the transaction and make use of the services rendered thereafter. We will refund you the pro-rata amount of any Service Fees that you have actually pre-paid to us covering the remainder of the Subscription Term after the effective date of termination.
3.We reserve the right to change our fees and to institute new charges at any time (including, for clarity, for any renewal), upon notice to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by GuidefAI in our sole discretion.
Your use of the Service following such notification constitutes your acceptance of any new or increased fees.
